Terms of Service

1. Acceptance of Terms

By accessing or using the Dewise website (dewiseapp.com) or, when available, the Dewise iOS application (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not use the Service. If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms.

We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We will notify you of material changes via email or prominent notice on the Service.

2. Description of Service

Dewise provides a device management platform that allows users to:

  • Track personal devices, including purchase price, purchase date, and warranty information.
  • View estimated resale values of their devices.
  • Receive AI-generated upgrade recommendations based on their device portfolio and preferences.
  • Join a waitlist for early access to the iOS application.

    • The Service is currently in pre-launch. Features, availability, and pricing are subject to change at any time without notice. We make no guarantee that any specific feature will be available at launch or at any future date.

    3. Eligibility

    You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are between 13 and 18 years of age, you may only use the Service with the consent of a parent or legal guardian who agrees to these Terms on your behalf.

    The Service is intended for personal, non-commercial use unless expressly agreed otherwise in writing with Dewise.

    4. Your Account & Responsibilities

    Where the Service requires you to create an account, you agree to:

  • Provide accurate, current, and complete information.
  • Keep your login credentials confidential and not share them with any third party.
  • Notify us immediately at hello@dewiseapp.com if you suspect unauthorised access to your account.
  • Accept responsibility for all activity that occurs under your account.

    • We reserve the right to suspend or terminate your account if we reasonably believe that your account information is inaccurate, that your account has been compromised, or that you have violated these Terms.

    5. User-Provided Data

    You retain full ownership of any data you enter into the Service, including device information, purchase prices, and warranty details ("User Data").

    By submitting User Data, you grant Dewise a limited, non-exclusive, royalty-free licence to store, process, and use that data solely for the purpose of providing and improving the Service for you.

    You represent and warrant that:

  • You have the right to submit the User Data.
  • Your User Data does not infringe any third-party intellectual property, privacy, or other rights.
  • Your User Data does not contain malicious code, viruses, or harmful content.

    • We do not claim ownership of your User Data and will not use it for advertising or sell it to third parties.

    6. Acceptable Use

    You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation.
  • Transmit any material that is unlawful, defamatory, obscene, fraudulent, or harmful.
  • Attempt to gain unauthorised access to any part of the Service or its related systems.
  • Scrape, crawl, or extract data from the Service by automated means without our prior written consent.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Introduce viruses, malware, or any other malicious or harmful code.
  • Use the Service in any way that could damage, disable, overburden, or impair it.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

    • We reserve the right to suspend or terminate access to the Service for any user who violates this section, without prior notice and without liability.

    7. Intellectual Property

    All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof — are the exclusive property of Dewise or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

    You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended personal purposes. This licence does not include the right to:

  • Reproduce, distribute, or publicly display any part of the Service.
  • Modify, create derivative works from, or commercially exploit any part of the Service.
  • Use Dewise's name, logo, or trademarks without our prior written consent.

    • Any feedback, suggestions, or ideas you provide about the Service may be used by us freely without any obligation to you.

    8. AI Recommendations & Data Accuracy

    The Service uses AI-powered tools to generate device upgrade recommendations and resale value estimates. You acknowledge and agree that:

  • Recommendations are informational only. They do not constitute financial, purchasing, or professional advice of any kind.
  • Estimates are approximate. Resale values and upgrade suggestions are generated algorithmically and may not reflect actual market conditions, retailer pricing, or the specific condition of your devices.
  • We do not guarantee accuracy. While we strive to provide useful and up-to-date information, we make no warranty that any recommendation, valuation, or data point is accurate, complete, or current.
  • You make your own decisions. Any purchase, sale, or financial decision you make based on information from the Service is made at your own risk.

    • We shall not be liable for any loss or damage arising from reliance on AI-generated recommendations or valuation estimates.

    9. Third-Party Links & Services

    The Service may contain links to third-party websites, retailers, or services (such as Amazon or Best Buy) for informational purposes. These links are provided for convenience only.

    We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Accessing third-party links is entirely at your own risk. We encourage you to review the terms and privacy policies of any third-party services you visit.

    10. Disclaimers & Warranties

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

    TO THE FULLEST EXTENT PERMITTED BY LAW, DEWISE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT OR DATA ON THE SERVICE.

    • Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in full. In such cases, warranties are limited to the minimum extent permitted by applicable law.

    11. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEWISE, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
  • DAMAGES ARISING FROM UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA.
  • DAMAGES ARISING FROM RELIANCE ON AI-GENERATED RECOMMENDATIONS OR VALUATIONS.

    • IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) £50 (FIFTY POUNDS STERLING).

    SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. WHERE SUCH LAWS APPLY, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Dewise and its owners, officers, agents, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service.
  • Your violation of these Terms.
  • Your violation of any third-party right, including intellectual property or privacy rights.
  • Any User Data you submit that causes harm to a third party.

    • 13. Termination

    We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

    You may stop using the Service at any time. If you wish to delete your account or data, contact us at hello@dewiseapp.com.

    Upon termination, all licences granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

    14. Governing Law & Disputes

    These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

    Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved informally by contacting us at hello@dewiseapp.com. We will try to resolve disputes within 30 days.

    If informal resolution is not possible, disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer in the EU, you may also be entitled to use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

    15. General Provisions

  • Entire Agreement. These Terms and our Privacy Policy constitute the entire agreement between you and Dewise regarding the Service and supersede all prior agreements.
  • Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will continue in full force.
  • No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely.
  • Force Majeure. We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, internet outages, or government actions.
